Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of nvoice (the “Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility & Account Responsibilities

  • You must be at least 18 years old and able to enter into legally binding contracts.
  • You must provide accurate, complete, and current information during signup and keep it up to date.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
  • You agree to use the Service only for lawful purposes and in compliance with all applicable laws, regulations, and professional obligations.

2. Stripe & Payment Processing

nvoice integrates with Stripe to offer payment processing links as a convenience. Stripe is a third-party service provider, and your relationship with Stripe is governed solely by Stripe's terms, policies, and fees. nvoice does not control, manage, or guarantee Stripe's services.

  • Stripe Express onboarding, charge approvals, payouts, and compliance reviews are handled exclusively by Stripe. You must accept and comply with Stripe's agreements.
  • nvoice makes no warranty that Stripe Connect onboarding will be approved or remain available.
  • For Stripe-hosted checkout sessions nvoice charges the platform fee displayed in the Service (currently 0.3% on the Free plan). Stripe's own processing fees apply in addition to any nvoice fee.
  • The Free plan supports Stripe card payments only; other payment methods are unavailable unless Stripe enables them or you upgrade.
  • nvoice is not liable for payment delays, charge failures, chargebacks, refunds, disputes, or any other financial loss. You are solely responsible for handling disputes, refunds, or chargebacks with Stripe and your customer.
  • You are solely responsible for understanding and complying with Stripe's requirements and any applicable payment laws.

3. Platform Fees, Billing, & Plan Changes

  • Current plan quotas, billing rates, and platform fees are described within the Service and may change at any time.
  • We may introduce new features, adjust limits, or modify pricing; material changes will be communicated in advance via the Service or email.
  • If you upgrade to a paid plan, you authorize us to charge your payment method for recurring subscription fees until cancellation.
  • You may cancel your subscription at any time from the dashboard billing settings or by contacting support@nvoice.app; cancellations take effect at the end of the current billing period.
  • You are responsible for any taxes, duties, or government assessments associated with your use of the Service.

4. Financial & Professional Disclaimers

nvoice provides workflow and invoicing tools. We do not provide accounting, legal, financial, or tax advice. You acknowledge and agree that:

  • All financial decisions you make using the Service are your sole responsibility.
  • nvoice does not guarantee that invoices will be paid, that clients will respond, or that payment links will function without interruption.
  • Any sample language, defaults, or rate calculations are provided for convenience only and should be reviewed by your own advisors.
  • You are responsible for ensuring compliance with tax reporting, record keeping, and other obligations applicable to your business.

5. Acceptable Use

  • Do not use the Service to send unlawful, deceptive, defamatory, or infringing content.
  • Do not attempt to disrupt, interfere with, or gain unauthorized access to the Service or related systems.
  • Do not use the Service to violate anti-spam, anti-money laundering, or sanctions requirements.
  • Do not use the Service for bulk, marketing, or unsolicited email campaigns. Invoice delivery emails are limited to the client recipient and optional copy settings provided in the app.
  • We may suspend or terminate access if we reasonably believe a violation has occurred.

6. Intellectual Property

  • The Service, including its design, software, and branding, is owned by nvoice or its licensors.
  • You retain ownership of content you upload but grant nvoice a limited license to store, display, and transmit that content to provide the Service.
  • You agree not to reverse engineer, decompile, or create derivative works from the Service.

7. Privacy

Your use of the Service is also governed by our Privacy Policy. We collect and process data as described there, including the use of cookies or similar technologies for authentication, security, and analytics. By using nvoice, you consent to such processing and represent that you have obtained all consents necessary to provide us with any personal data of third parties.

8. Warranty Disclaimer

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, nvoice disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or meet your requirements.

9. Limitation of Liability

To the maximum extent permitted by law, nvoice, its officers, employees, agents, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.

Our aggregate liability for any claim under these Terms will not exceed the greater of one hundred (100) U.S. dollars or the amount you paid to nvoice in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless nvoice and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, us, or third parties. You may cancel your account at any time; sections that by their nature should survive termination will remain in effect.

12. Modifications

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email. The updated Terms will be effective when posted. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
